Form 941: Employer's QUARTERLY Federal Tax Return

Form 941 is the quarterly return an employer files to report federal income tax, Social Security tax and Medicare tax withheld from employees' paychecks, along with the employer's share of Social Security and Medicare taxes. It reconciles what you deposited during the quarter with what you owe.

Once you file your first Form 941, you file every quarter, even in a quarter when you owe nothing, unless you are a seasonal employer or filing a final return. The IRS matches the totals to the Forms W-2 and W-3 you file at year end.

The form is two pages and must be signed. Most of the work is the wage and tax figures on page 1 and, for some employers, a record of daily or monthly tax liability.

Deadlines, where to send it and common mistakes

Due dates

Quarter 1 (January to March) is due April 30, quarter 2 July 31, quarter 3 October 31 and quarter 4 January 31. If you deposited all taxes on time, you may file by the 10th day of the second month after the quarter. A weekend or holiday moves the date to the next business day.

Deposits

You deposit by electronic funds transfer on a monthly or semiweekly schedule, decided by a lookback period. If total tax for the quarter is under $2,500 you can pay with the return.

Where to send it

The IRS encourages e-filing. Paper filers use a mailing address that depends on state and whether a payment is attached, listed in the instructions.

Penalties

Avoid penalties by depositing on time, filing a complete return and reporting accurately. The instructions also describe the trust fund recovery penalty, equal to the full unpaid withheld taxes, for responsible persons who act willfully. Ask for penalty relief on Form 843.

Common mistakes

Totals that do not match Form W-3, a missing signature, and skipping the filing for a quarter with no wages.

Who needs to file Form 941?

  • Most employers with employees

You file every quarter after your first return, even if you have no taxes to report.

  • Seasonal employers

You can check line 18 to say you will not file for some quarters. The IRS then does not expect a return for those quarters.

  • Employers who file something else

Employers the IRS has told to file Form 944 file that annually. Household employers use Schedule H and Pub. 926, and farm employers use Form 943.

  • Small employers

An employer expecting yearly employment taxes of $1,000 or less can ask the IRS to switch it to Form 944 instead of Form 941.

Employers who pay wages subject to federal income tax withholding or Social Security and Medicare taxes.
