Form 1065: U.S. Return of Partnership Income

Form 1065 is the information return a partnership files each year to report its income, deductions, gains, losses and credits. The partnership itself generally does not pay income tax on this form. Each partner reports a share on a Schedule K-1 and pays tax on their own return.

This page covers the 2025 form and its 2025 instructions. The IRS says every domestic partnership must file Form 1065 unless it neither receives income nor incurs deductible or credit-generating expenditures.

A multi-member domestic LLC that has not filed Form 8832 is classified as a partnership and files this return. You can fill out Form 1065 on this page, in your browser, with no account.

Deadlines, where to file and penalties

Due date

The 15th day of the 3rd month after the tax year ends. For calendar-year 2025 returns, March 16, 2026 was timely because March 15 fell on a Sunday. Form 7004 requests an extension and must be filed by the regular due date.

Schedule K-1 timing

The instructions say a K-1 must be given to each partner on or before the day the partnership return is required to be filed.

Where to file

The address depends on the principal place of business and on total assets in item F. Partnerships filing Schedule M-3 use Ogden, Utah. Partnerships in a foreign country or a U.S. territory use the P.O. Box 409101, Ogden address in the instructions.

Electronic filing

Beginning in 2024, partnerships must file electronically if they file 10 or more returns of any type in a year. Partnerships with more than 100 partners must also e-file.

Late filing penalty

A monthly penalty applies for each month or part of a month the failure continues, up to 12 months, multiplied by the number of persons who were partners at any time during the year. Check the instructions for the current amount.

Late or wrong K-1s

A separate penalty applies per Schedule K-1 that is late or incorrect.
